Roma to tie Curci down

Roma are offering a new contract to Gianluca Curci to fend off rival interest from Manchester United and Monaco.

The young keeper has admirers from The Premiership and Ligue 1 and Roma want to tie him down to a professional contract this summer.

Milan have also been alerted by the Italian´s possible availability as he signed a contract with Roma that, although lasting until 2009, was only worth a relatively small amount of €2,000 per month.

Talks have started with Curci´s agent and a fresh deal worth up to €250,000 a season could be agreed, which will prolong his association with the capital club until 2011.

Roma have joint-ownership of the rookie shot-stopper with Palermo and need to resolve that before confirming the deal.

Gardner expresses Utd fears

Manchester United plc chairman Sir Roy Gardner admits Malcolm Glazer has failed to provide any cast-iron guarantees regarding the club´s financial future.

Gardner will soon be leaving his position at Old Trafford following American tycoon Glazer´s takeover of the club.

Along with non-executive directors Ian Much and Jim O´Neill, Gardner is expected to resign from his post as chairman.

But his parting shot is to warn already fearful United supporters that Glazer has, thus far, been unable to give the club any assurances about various issues concerning the club and fans.

Glazer´s Red Football Group are the body behind the bid to assume full control of The Red Devils but Gardner admits there are grounds for serious concern.

" The board was aware that an acquisition of Manchester United by Red would be likely to be opposed by some Manchester United shareholders and fans concerned about the future running of the football club," said Gardner in a letter to shareholders.

" During its discussions with Red, the board sought a range of legally-binding protections for the football club, its fans and any minority shareholders, including in relation to future levels of net debt, new player investment and transfers, team selection, Old Trafford, ticket prices and certain minority protections.

" As at the date of this document, no such protections or assurances have been forthcoming."

In spite of these fears, Gardner and the board have recommended that shareholders accept Glazer´s offer of 300 pence for the remaining shares in the club.

Meanwhile, David Bellion has undergone an operation on the fractured fibula he suffered while playing for the reserves against Everton earlier this month.

Mikel blames Lyn director

Nigerian starlet John Obi Mikel has blamed Lyn director Morgan Andersen for the furore concerning his future.

Mikel is at the centre of a transfer tug-of-war between Manchester United and Chelsea and Fifa have been asked to intervene in the row.

Lyn signed a deal with United, while Mikel also concurred on a move to Old Trafford, before appearing to back out of the transfer.

There have been claims that Mikel was pressured into penning a deal with The Red Devils and the teenager feels Andersen is to blame for the situation.

" It is Morgan that is the problem, he pushed me," Mikel told TV2 Sporten.

" I love Lyn and would like to go back to the club but it will be difficult as long as Morgan is there."

Mikel has now belatedly linked up with the Nigerian squad for next month´s Fifa World Youth Championship being held in Holland.

He joined his international team-mates in Paris on Tuesday and is now hoping to train his focus solely on the upcoming tournament.

The midfielder added: " I will take some time to clear my thoughts. Right now, I am concentrating on the World Cup.

" I do not know what will happen after that. As things are now I can´t answer for which club I will play.

" Nobody has forced me. I am fine."

United release Carroll

Manchester United have released goalkeepers Roy Carroll and Ricardo.

Carroll had been expected to depart Old Trafford after failing to agree a new deal but his agent Francis Martin claimed recently that his client would be remaining with United.

As Sir Alex Ferguson has been hunting a new keeper and Tim Howard signed fresh terms, Carroll´s place was always going to be under threat after failing to truly nail down the number one spot.

At least the Northern Ireland international figured in the FA Cup final after being left out of the starting line-up last year, but was unable to keep out any of The Gunners´ five penalties as United suffered shoot-out heartache.

Carroll has often stressed he wants to be first choice at this stage of his career and Rangers, Everton, Bolton Wanderers, Wigan and Arsenal have already been linked with moves for him.

Ricardo failed to justify his arrival from Spain and rarely appeared in United colours, he was not even sighted in the reserves for much of this season.

The only memorable aspect of his Old Trafford career came when he conceded a penalty against Blackburn Rovers but then saved the spot-kick on his debut in 2003.

Young striker Daniel Nardiello has been added to the list of released Red Devils, that includes Ramon Calliste, Ben Collett, David Poole, Lee Lawrence and Paul Tierney.

>> Au revoir Carroll et Ricardo. Sir Alex avait quand meme bien compris qu´il nous fallait un nouveau gardien.

Fans step up action as board sells up
Bill Wilson
BBC News business reporter

Manchester United fan´s body Shareholders United is drawing up its strategy after the club´s board advised shareholders to accept Malcolm Glazer´s bid.

The US tycoon owns around 76.2% of Manchester United´s shares and is offering 300p a share for the rest.

In a statement, the club board said unless shareholders had " strong non-financial reasons" for holding on to shares, they should accept the offer.

Shareholders United said the news was expected but they would " fight on".

Mr Glazer is now expected to take the club´s shares off the London stockmarket by 30 June, as he owns more than 75% of the shares needed for such a move.

Shareholders United said it now expects to launch its Phoenix Fund on 7 June, a financial fund offering " high interest".

If their boycott campaign to put a stranglehold on Manchester United´s income is successful and Mr Glazer " is forced to sell-up" at Old Trafford, the group says it hopes to be in a position to buy back a sizeable share of the club.

´Reclaim the club´

The fans´ group believes that Mr Glazer´s business plan for the club, reliant as it is on heavy borrowing, is not workable.

More than one-third of Mr Glazer´s £790m offer for the club is debt secured against United´s assets, such as its Old Trafford stadium, while a further £275m comes from loans from three US hedge funds.

" We will be ready to reclaim the club if the Glazers are forced to sell," said Shareholders United spokesman Oliver Houston.

" If he is squeezed out in a few years we hope our fund will enable us to buy a large chunk of Manchester United."

Mr Houston said the fund was backed by Japanese bank Nomura.

Shareholders United will be writing to the 30,000 small shareholders in Manchester United, and also its 35,000 members, asking them to consider helping the fund.

" We cannot give financial advice on whether to sell their shares to Mr Glazer or not," said Mr Houston.

" But a lot of fans may decide to hang onto one share or a handful of shares as a symbolic gesture."

Shares worthless

Many fans bought for sentimental reasons and to have some sort of say in the running of their club.

" However some fans have more than 100,000 shares and we realise that it makes financial sense for them to sell," said Mr Houston.

" If fans do sell though, we would ask them to consider putting money into the Phoenix Fund - it would be very sweet in future to buy back the club using money that the Glazers have paid out to buy the remaining shares."

If fans did hang onto their shares, they would be virtually worthless as there would be no guarantee that dividends would be paid by the Glazer family, and it would also be difficult to trade the shares.

However, owning a single share should allow a fan to attend any Extraordinary General Meetings held by the club.

The Manchester United board has indicated that it plans to sell its own shares to Mr Glazer and has encouraged other investors to do the same.

Board members going

With ownership of more than 75% of the club´s shares, Mr Glazer is allowed write off his debt on the club´s books and take it private after 14 years on the London stockmarket.

Mr Glazer hopes to secure enough additional shares in the club to take his stake up to 90%, the level at which remaining shareholders can be legally compelled to sell.

But regardless of whether the remaining shareholders sell up or not, United´s time as a publicly-listed company is bound to come to an end, so shareholders are being encouraged by the board not to hold onto shares purely for sentimental reasons.

The offer to sell shares in the world´s richest football club to Red Football - Mr Glazer´s acquisition vehicle - is due to close at 1500 ( 1400 GMT) on 13 June.

After that time, Mr Glazer says, he may not buy their shares any more, rendering remaining stock null and void and effectively worth little beyond sentimental value.

In a letter to shareholders, Man United Chairman, Sir Roy Gardner announced his impending resignation, along with that of non-executive directors Ian Much and Jim O´Neill.

However Shareholders United will be writing to chief executive David Gill asking him how the remaining members of the board can stay in place " in all conscience" after selling their shares to the Glazers.

Legal moves

Shareholders United´s latest move to hit the club´s sponsors and plug Manchester United´s revenue stream is to urge fans to terminate their mobile phone contracts with shirt sponsors Vodafone, and sign up to other networks.

The group says it has struck a deal with two corporate communications firms which will net its campaign around £60 for each completed switch.

Meanwhile, lawyers are also being consulted on the legality of Mr Glazer transferring his debt onto the club´s books, the fans´ body said.

Manchester United´s legal status will have to be changed before Mr Glazer can use the club´s assets as security for the money he is borrowing.

Shareholders accounting for 5% or more of the shares can legally apply to a court to stop this.

Glazer declines to make ´protection´ promise to United
By Ashling O’Connor

MALCOLM GLAZER, the new owner of Manchester United, refused to give the club any guarantees that he would not sell Old Trafford, it emerged yesterday in the board’s official response to the £790.3 million offer. The American billionaire also declined to tie himself to any promises regarding future transfer budgets, debt levels, team selection or ticket prices during his negotiations with the board. Glazer was repeatedly asked by United’s financial advisers to provide legally binding “protections” for the club after completion of the highly-leveraged takeover by Red, his bid vehicle. Sir Roy Gardner, the United chairman, and his fellow directors were concerned to allay fears among supporters about a sale and leaseback of Old Trafford and a hike in season-ticket prices to help to fund the deal. They had already condemned Glazer’s proposed business plan as “ aggressive” and said it would inflict a “damaging” financial strain on the club.

They had hoped that pledges on how Glazer intended to run the business would address those concerns. It is understood that the American businessman offered the board no details of his plan to increase the club’s commercial revenues substantially and repay debt of at least £540 million incurred as a result of the takeover.

“During its discussions with Red, the board sought a range of legally binding protections for the football club, its fans and any minority shareholders,” Gardner said in a letter to shareholders. “No such protections or assurances have been forthcoming.” The letter was contained in a circular to shareholders in which United directors recommended they accept Glazer’s offer.

The board was originally unable to recommend the offer because of deep misgivings about the level of debt involved. This caused Glazer to go directly to John Magnier and J. P. McManus, the Irishmen who held a 28.7 per cent stake, to negotiate a side deal and take economic control of the company. This occurred on May 12.

Since Glazer broke through 75 per cent to take the club private, the board has concluded that minority shareholders would be best advised to take the cash offered rather than be left holding shares with few rights in a private company.

For the first time, the board also clarified its fears for the club, previously free of debt. “When a club is under financial pressure, some of the key assets which it can sell are its players and, at a time of poor performance, such sales are likely to make playing performance worse,” Gardner said. “Too much leverage could drive a downward spiral in both team and financial performance.”

Glazer is initially putting up to £374million of debt on the United balance sheet. A separate debt facility of £275million has been raised through the issue of preference shares to US hedge funds. While these have no immediate recourse to United, many analysts expect Glazer to refinance within two years and “flip” the debt — plus interest — on to the club.

The board’s view of the preference shares, or “payment-in-kind” loans, which come with high interest rates, is that they “may put additional indirect pressure on the business”. Despite their misgivings, David Gill, United’s chief executive, and Nick Humby, the finance director, are expected to stay at the club. Their shareholdings and options, to be redeemed by Glazer, mean that they are set to receive more than £2.2million and £1.4 million respectively by accepting the offer. Gill last year earned £909,000 in salary and bonuses.

Gardner and two fellow non-executive directors — Jim O’Neill, a currency guru at Goldman Sachs, and Ian Much, chief executive of De La Rue, the company that prints banknotes — are expected to resign shortly. O’Neill, a Mancunian who joined the board only in November after two directors were voted off by Glazer, is set to earn more than £5 million from the sale of his shares.

He joins a list of United directors who have profited from their association with the company. Maurice Watkins, the club’s lawyer and one of those ousted from the board, will earn £15 million from his five million shares.
